Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the Ryvion platform operated by Ryvion Technologies Inc. ("Ryvion"), a corporation incorporated under the laws of Ontario, Canada. By creating an account or using our API, you agree to these Terms.

2. Definitions

"Buyer" means any user who submits workloads (inference, fine-tuning, embedding, agent hosting, etc.) to the platform.

"Operator" means any user who contributes compute resources (GPU or CPU nodes) to the network.

"Receipt" means the Ed25519-signed cryptographic proof generated for each completed job, containing the model, node, jurisdiction, and timestamp.

3. Account Requirements

  • You must be at least 18 years of age
  • You must provide accurate registration information
  • You are responsible for all activity under your account and API keys
  • You must not share API keys or allow unauthorized access

4. Buyer Terms

As a buyer, you agree that:

  • You will use the platform in compliance with our Acceptable Use Policy
  • You are responsible for the content of your prompts and uploaded data
  • Credits are non-refundable except where required by law
  • Receipts are provided as cryptographic proof of execution, not as a warranty of output correctness
  • Sovereign routing directs workloads to your selected jurisdiction on a best-effort basis based on operator-declared locations

5. Operator Terms

As an operator, you agree that:

  • You will accurately declare your node's geographic location and hardware specifications
  • You will not tamper with, modify, or misrepresent workload execution
  • You will keep the node agent software up to date
  • Ryvion retains 15% of job revenue; you receive 85%
  • Payouts are processed via Stripe with a T+24h clearing period
  • Ryvion may suspend or remove nodes that violate these Terms or produce invalid receipts
  • You will comply with all applicable laws in your jurisdiction regarding compute services

6. Prohibited Uses

You may not use the platform to:

  • Generate content that exploits or harms minors (CSAM)
  • Create deepfakes of real persons without consent
  • Develop biological, chemical, nuclear, or radiological weapons
  • Conduct unauthorized surveillance or mass data collection
  • Circumvent platform guardrails, PII detection, or safety filters
  • Distribute malware, spam, or phishing content
  • Violate export control or sanctions laws
  • Engage in market manipulation, fraud, or money laundering

7. Intellectual Property

You retain all rights to your input data and model outputs. Ryvion does not claim ownership of prompts, completions, uploaded models, or Knowledge Base content. Ryvion retains rights to the platform software, APIs, and receipt format.

8. Limitation of Liability

Ryvion provides the platform "as is" without warranty of any kind. We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim. Cryptographic receipts prove execution metadata, not output accuracy.

9. Termination

Either party may terminate at any time. Ryvion may suspend or terminate accounts that violate these Terms. Upon termination, your right to use the platform ceases. Job receipts and audit trail data are retained per our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of Ontario, Canada and the federal laws of Canada applicable therein. Disputes will be resolved in the courts of Ontario.

11. Changes

We may update these Terms with 30 days notice via email or platform notification. Continued use after changes take effect constitutes acceptance.
